Terms of Service

1. What these Terms cover

These Terms govern your use of the Site only — the pages, content, blog, resources, and booking tools available on it.

These Terms do not govern Noettic’s consulting services. Any AI Strategy Session, fractional Chief AI Officer engagement, agent development, AI-Run Operations work, or other professional service is governed by a separate written agreement between Noettic and the client. Nothing on the Site, and nothing in these Terms, creates a consulting relationship or a binding offer of services.

2. Use of the Site

You agree to use the Site only for lawful purposes. You agree not to:

• Use the Site in any way that violates applicable law;
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• Interfere with or disrupt the Site or its security;
• Scrape, harvest, or collect information from the Site by automated means without our written permission;
• Use the Site to transmit malicious code or harmful material;
• Misrepresent your identity or affiliation.

We may suspend or restrict access to the Site, in whole or in part, at any time and without notice.

3. Intellectual property

The Site and its content — including text, copy, page designs, graphics, logos, the Noettic name and brand, blog articles, case studies, and downloadable resources such as worksheets and audits — are owned by Noettic or its licensors and are protected by intellectual property laws.

Downloadable resources. Resources we offer for free download (for example, worksheets and audits) are provided for your own business use. You may use and share them for that purpose. You may not resell them, present them as your own work, or remove Noettic branding from them. Noettic retains all copyright in these resources.

Except as expressly permitted, you may not copy, reproduce, republish, distribute, or create derivative works from Site content without our prior written consent.

4. Your submissions

If you submit information to us through the Site — a contact form, a booking, a newsletter signup, or otherwise — you confirm that the information is accurate and that you have the right to provide it. We handle information you submit in accordance with our Privacy Policy.

5. Bookings and paid sessions

The Site allows you to book a free discovery call and to purchase a paid AI Strategy Session.

• Discovery calls are free and carry no obligation.
• AI Strategy Sessions are a paid service. The price shown on the Site applies at the time of booking. Payment is processed by our third-party payment processor at the time of booking.
• Rescheduling and cancellation. You may reschedule a paid AI Strategy Session at no charge up to 24 hours before the scheduled start time. If you cancel more than 24 hours before the scheduled start time, you are entitled to a full refund. Cancellations made within 24 hours of the scheduled start time, and sessions you do not attend, are non-refundable.

The AI Strategy Session is itself governed by these Terms together with any session-specific terms presented at booking; deeper engagements are governed by a separate services agreement.

6. No professional advice; informational content only

The content on the Site — including the blog, case studies, frameworks, worksheets, and other resources — is provided for general informational purposes. It does not constitute legal, financial, tax, or other professional advice, and it is not a substitute for advice from a qualified professional who knows your specific situation.

Case studies and examples on the Site may describe composite or anonymized scenarios and are illustrative. Results described are not a guarantee of any particular outcome for your business.

You are responsible for your own decisions. Do not act on Site content without obtaining advice appropriate to your circumstances.

7. Disclaimer of warranties

The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components.

8. Limitation of liability

To the fullest extent permitted by law, Noettic and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site — even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising from or related to the Site will not exceed the greater of (a) the total amount you paid us, if any, in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Noettic and its owners, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site or your violation of these Terms.

10. Third-party links and tools

The Site may link to or rely on third-party websites and tools that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their terms, not ours.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from or related to the Site or these Terms will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above. Your continued use of the Site after an update means you accept the revised Terms.
